License Agreement

This License Agreement (this “Agreement”) is a binding agreement between MED-Project USA (“MED-Project”) and you and Licensee (as defined below). Please read it carefully.

The materials you are downloading (“Materials”) have been prepared and collected by MED-Project and are proprietary to MED-Project. MED-Project provides the Materials solely on the terms and conditions set forth in this Agreement and on the condition that you and Licensee accept and comply with them. The entity pursuant to which you access and use the Materials, and for which you download the Materials, is referred to herein as “Licensee.”

If you do not agree to this Agreement, or do not have authority to bind Licensee to this Agreement, then DO NOT click “Accept” and do not access, view, download or otherwise use the Materials.

BY CLICKING THE “ACCEPT” BUTTON, YOU (A) ACCEPT THIS AGREEMENT AND AGREE THAT LICENSEE IS LEGALLY BOUND BY ITS TERMS; AND (B) REPRESENT AND WARRANT THAT: (i) YOU ARE 18 YEARS OF AGE OR OLDER AND OF A LEGAL AGE TO ENTER INTO A BINDING AGREEMENT; AND (ii) IF LICENSEE IS A CORPORATION, GOVERNMENTAL ORGANIZATION, OR OTHER LEGAL ENTITY, YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF LICENSEE AND BIND LICENSEE TO ITS TERMS. IF YOU AND LICENSEE DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, MED-PROJECT WILL NOT AND DOES NOT LICENSE THE MATERIALS TO LICENSEE AND YOU MUST NOT DOWNLOAD OR INSTALL THE MATERIALS OR ITS DOCUMENTATION.

License Grant and Scope. Subject to and conditioned upon all terms and conditions set forth in this Agreement, MED-Project hereby grants to Licensee a non-exclusive, revocable license to use the Materials for educational and informational purposes only as such Materials are made available to Licensee by MED-Project.

Use Restrictions. You and Licensee shall not, and shall ensure others do not, directly or indirectly:

use (including make any copies of) the Materials beyond the scope of the license granted above;
modify, translate, adapt, or otherwise change or create derivative works or improvements, whether or not patentable, of the Materials;
combine the Materials or any part thereof with other Materials;
remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices provided on or with the Materials, including any copy thereof;
use the Materials in violation of any law, regulation, or rule; nor
use the Materials for purposes of competitive analysis of the Materials, the development of a competing Materials product or service, or any other purpose that is to MED-Project’s commercial disadvantage.

Responsibility for Use of Materials. Licensee shall use commercially reasonable efforts, to ensure that anyone provided access to or use of the Materials by Licensee complies with the terms of this Agreement. Without limiting the foregoing, if Licensee makes the Materials available to anyone online or for further distribution then Licensee must require anyone accessing the Materials minimally to agree in writing to comply with the terms, conditions, and limitations of this Agreement. In the event that a third party uses the Materials, through access thereto provided by Licensee, in a way that does not comply with this Agreement, Licensee agrees to cooperate fully with MED-Project’s enforcement efforts which MED-Project may take against such third party.

Intellectual Property Rights. You and Licensee acknowledge and agree that the Materials are provided under license, and not sold, to Licensee. You and Licensee do not acquire any ownership interest in the Materials under this Agreement, or any other rights thereto, other than to use the same in accordance with the license granted and subject to all terms, conditions, and restrictions under this Agreement.

Termination. This Agreement and the license granted hereunder may be revoked at any time by MED-Project. Upon termination, you and Licensee agree to cease all use of the Materials and to use commercially reasonable efforts to remove and destroy any and all copies of the Materials you or Licensee, or anyone Licensee has provided the Materials, have access to or display.

NO WARRANTY. THE MATERIALS ARE PROVIDED TO LICENSEE “AS IS” AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, MED-PROJECT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE MATERIALS, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE.

LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL MED-PROJECT’S AND ITS AFFILIATES’, INCLUDING ANY OF ITS OR THEIR RESPECTIVE LICENSORS’ AND SERVICE PROVIDERS’, COLLECTIVE AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THIS AGREEMENT OR ITS SUBJECT MATTER, UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE, EXCEED US$25.00. THE EXISTENCE OF ONE OR MORE CLAIMS WILL NOT ENLARGE THIS LIMIT. THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY EVEN IF LICENSEE’S REMEDIES UNDER THIS AGREEMENT FAIL OF THEIR ESSENTIAL PURPOSE.

Miscellaneous.

All matters arising out of or relating to this Agreement shall be governed by and construed in accordance with the internal laws of the District of Columbia without giving effect to any choice or conflict of law provision or rule.
In the event of any conflict or claim arising out of or relating to any provision of this Agreement or breach thereof, the parties shall make a good faith effort to settle such conflict amicably between themselves. Any such conflict which the parties are unable to resolve shall be settled in the courts located in Washington, D.C. LICENSEE WAIVES ANY RIGHT TO A JURY TRIAL.
